1 Definition of Terms & Platform Roles

2 Eligibility, Verification, & Account Compliance

The Platform is designed exclusively for commercial, B2B, and professional transport logistics transactions. Individuals under the age of 18 are strictly prohibited from creating accounts.

• Customer Verification: Customers must provide accurate, up-to-date business credentials during onboarding, which may include corporate tax registration details (e.g., GSTIN/PAN), physical warehouse/office address verifications, and valid corporate contact metrics.
• Trucker & Vehicle Verification (KYC): Truckers must upload verifiable documentation prior to viewing or bidding on market inventory. This includes valid Commercial Driver's Licenses (CDL), Vehicle Registration Certificates (RC), mandatory National/State Commercial Route Permits, valid Third-Party Liability Insurance policies, and Fitness Certificates.

3 Intellectual Property Rights

All trademarks, logos, trade names, software, source code, user interfaces, designs, graphics, content, databases, and other intellectual property associated with the Platform are the exclusive property of Trippu Technologies and are protected under applicable intellectual property laws.

Users are granted a limited, non-exclusive, revocable, and non-transferable right to access and use the Platform solely for its intended purpose. Users shall not copy, reproduce, distribute, modify, reverse engineer, decompile, scrape, or commercially exploit any part of the Platform without prior written consent from Trippu.

4 Prohibited Activities

Users agree not to:

• Create false or misleading accounts.
• Impersonate another individual or business entity.
• Upload fraudulent, forged, or misleading documents.
• Use bots, crawlers, automated scripts, or scraping tools.
• Interfere with or disrupt Platform functionality.
• Attempt unauthorized access to systems, servers, or databases.
• Manipulate GPS coordinates or use location-spoofing software.
• Circumvent Platform fees or conduct transactions outside the Platform after establishing contact through Trippu.
• Engage in unlawful, fraudulent, abusive, or harmful activities.

Violation of this section may result in immediate suspension or permanent termination of access to the Platform.

5 The Trippu Reverse-Auction Bidding Ecosystem

• Trip Request Initiation: Customers initiate transactions by publishing explicit, granular Trip Requests. Each posting must specify exact pickup and drop-off coordinates, date/time parameters, material types, net weight metrics, structural dimensions, required vehicle layouts, and any load-handling requirements.
• Legal Nature of Trucker Bids: When a Trucker inputs and submits a monetary Bid on an open Trip Request, that action constitutes a firm, unconditional, and legally binding financial offer to execute the specified trip according to the Customer's parameters.
• Bid Acceptance and Contract Formation: The Customer has full autonomy to review all submitted Bids along with the submitting Trucker's active historic rating profile. A legally binding Contract of Carriage is generated exclusively at the moment the Customer accepts a Bid within the app. Upon acceptance, all competing Bids are voided, the logistics rate is locked, and mutual direct contact info is unlocked.

6 Dual-Sided Rating, Quality Control, & Blacklisting Protocol

To preserve transactional transparency, safety, and operational professional standards across the open network, Trippu mandates a compulsory, peer-reviewed feedback loop after every closed shipment.

• Rating Criteria: Following delivery confirmation, both parties must rate the transaction out of five (5) stars. Customers are evaluated on promptness, cargo weight transparency, facility safety, operational courtesy, and speed of payment. Truckers are evaluated on on-time arrival, cargo handling integrity, secure driving compliance, GPS tracking compliance, and communicative transparency.
• System Integrity: Users are strictly forbidden from engaging in shill rating or threatening a counterparty with a negative rating to extract extra-contractual financial concessions.
• Automated Suspensions: Trippu reserves the right to temporarily deactivate, suspend, or permanently blacklist any user profile whose average score drops below the network baseline or who accumulates multiple critical service infractions.

7 Operational Financial Obligations & Payment Protocols

• Locked Pricing Guardrails: Once a Customer accepts a Bid, that numeric value is definitive. Extra-contractual adjustments are valid only under documented physical exceptions, including excessive terminal detention delays, additional multi-drop route deviations, or un-declared cargo overweights.
• Platform Service Commissions: Trippu reserves the right to collect convenience fees, marketplace service charges, or digital processing commissions. Any such fees will be transparently outlined prior to Trip posting or Bid confirmation.

8 Non-Circumvention Mandate

Users explicitly acknowledge that the economic viability of the Trippu Platform depends on transparent platform settlement. You are strictly prohibited from using the Platform to identify a business match and subsequently bypassing the application to finalize the deal offline to evade platform fees or metrics compliance. Any evidence of off-platform circumvention will result in the immediate permanent banishment of both profiles from the network.

9 Account Suspension and Termination

Trippu reserves the right, at its sole discretion, to temporarily suspend, restrict, or permanently terminate any User account that:

• Violates these Terms and Conditions.
• Provides false or misleading information.
• Engages in fraudulent or illegal activities.
• Repeatedly receives substantiated complaints.
• Attempts to compromise Platform security.
• Causes harm to other Users or the reputation of the Platform.

Account suspension or termination shall not affect any outstanding obligations arising before such action.

10 Platform Tracking and Device Permissions

To ensure transit integrity and update live ETAs for waiting Customers, Truckers must keep the Trippu mobile application running and authorize continuous background location tracking during active trip executions. Intentionally disabling GPS or manipulating coordinates via spoofing utilities constitutes a material breach of these Terms, authorizing immediate payment withholding and account suspension.

11 Complete Disclaimer of Liability & Risk Allocation

Because Trippu acts purely as an intermediary portal, the Platform disclaims all liability for the physical logistics process:

• Cargo Loss or Damage: Trippu assumes zero responsibility for cargo theft, physical breakdown, environmental deterioration, road traffic accidents, or material damages during transit. Shippers are strongly urged to procure comprehensive transit insurance.
• Delayed Dispatches: Trippu is not liable for indirect or consequential financial damages, lost business revenues, or factory supply shortages caused by a Trucker failing to arrive at a pickup on time.
• User Conduct: Trippu does not guarantee the on-site physical safety, compliance, or moral character of drivers or terminal staff.

12 Governing Law & Dispute Resolution

These Terms shall be interpreted, construed, and enforced in compliance with the substantive laws of India. Any legal dispute, grievance, or litigation resulting from your interaction with the Platform that cannot be amicably settled via direct corporate support resolution shall be filed exclusively within the competent courts of Hyderabad, Telangana, India.

13 Force Majeure

Trippu shall not be liable for any delay, interruption, failure, or inability to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, floods, earthquakes, fire, war, terrorism, labor disputes, government actions, internet outages, GPS failures, telecommunications disruptions, power failures, or acts of God.

14 Indemnification

Users agree to defend, indemnify, and hold harmless Trippu, its directors, officers, employees, affiliates, agents, and partners from and against any claims, losses, liabilities, damages, expenses, costs, or legal fees arising out of:

• Violation of these Terms.
• Misuse of the Platform.
• Violation of applicable laws or regulations.
• Disputes between Customers and Truckers.
• Infringement of any third-party rights.

15 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

16 Modification of Terms

Trippu reserves the right to update, modify, or replace these Terms at any time. Updated Terms shall become effective upon publication within the Platform. Continued use of the Platform following such publication shall constitute acceptance of the revised Terms.
